Terms of Service

This English text is a convenience translation. The legally binding version is the German one (switch to Deutsch).

These Terms of Service govern your use of ACHAT STUDIO (studio.achat.graphics) and the purchase of the videos created there. The provider is ACHAT GRAPHICS, owner Henry Drenth, Bahnhofstr. 68, 71332 Waiblingen, Germany, VAT ID DE457777009, e-mail studio@achat.graphics ("ACHAT").

1. The service

ACHAT uses AI systems to create short event visuals (video files, usually 15 seconds) individually, based on the details you provide (e.g. event information) and the content you upload (e.g. logo, audio, fonts). A preview is generated before purchase. The exact scope depends on the package you choose:

  • Single artwork (39 €): one finished visual in 9:16, one revision round.
  • Full pack (89 €): every format you select, three revision rounds, your own audio, fonts and logo.

Results are produced automatically. ACHAT owes the delivery of a video created to these specifications, but not a particular artistic outcome or suitability for a special purpose not expressly agreed. The preview of the chosen concept shown before purchase is the benchmark for conformity.

The video is delivered digitally: you can download it immediately and also receive a download link by e-mail. Each package includes the number of revision rounds stated above (a revision is a re-generation within the ordered concept); further revisions can be booked separately.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a contract.

3. Acceptable use

You agree not to use the service to create, upload or distribute content that:

  • is unlawful, infringing, defamatory, discriminatory or harmful to minors;
  • infringes the intellectual property, trademark, personality or other rights of third parties;
  • misuses, overloads, reverse-engineers or attempts to circumvent the service or its usage limits.

4. Your content and warranties

You warrant that you hold all rights necessary to use the content you provide (logos, audio, fonts, text, trademarks) for the commissioned work and that its use does not infringe the rights of any third party or any applicable law. You indemnify ACHAT against third-party claims arising from a breach of this warranty, including reasonable costs of legal defence. ACHAT may refuse orders with manifestly unlawful content.

5. License to the generated video

Upon full payment, ACHAT grants you a non-exclusive, worldwide, perpetual right to use the delivered video, including commercial use to promote your own events (e.g. social media, web, displays). You may not resell or sublicense the video as a standalone product to third parties. Purely AI-generated content may not, or only to a limited extent, be protected by copyright under current law; ACHAT transfers such transferable rights as exist in the result. According to the terms known to ACHAT, the third-party AI services used permit your commercial use of the generated outputs and do not restrict the rights granted above.

6. AI-generated content and statutory rights

Videos are generated automatically by AI systems and may contain errors, unexpected results or visual artefacts, and do not represent verified facts. Similarities to existing works, trademarks or real persons cannot be fully excluded. You are responsible for reviewing the delivered result for suitability and any third-party rights before publishing it. The service is provided to this extent "as is".

This does not affect your statutory rights as a consumer, in particular the statutory rights regarding defects under §§ 327 et seq. German Civil Code. The preview of the chosen concept shown before purchase is the benchmark for conformity; in the event of a defect, remedy is provided primarily by re-generating the video within the included revision rounds. Towards businesses, the limitation period for defect claims is one year from provision; this shortening does not apply to the cases of unlimited liability in clause 10.

7. Conclusion of contract, prices, payment and invoices

The presentation of the packages is an invitation to treat. By completing the Stripe payment you make a binding offer; the contract is concluded when ACHAT confirms the payment or provides the service. The contract language is German; order data and the invoice are provided by e-mail.

All prices are final prices in euro and include statutory VAT (currently 19 %). For businesses in other EU member states, the reverse-charge mechanism may apply where a valid VAT ID is provided. Payment is processed via Stripe and is due upon conclusion of contract. ACHAT provides an invoice in accordance with § 14 UStG by e-mail.

8. Right of withdrawal and refunds

Consumers have a statutory right of withdrawal as set out in the Widerrufsbelehrung. Because each video is produced individually on your request, this right expires once production begins after you have expressly consented to the immediate start and acknowledged the loss of the right at checkout. This consent is obtained before every purchase.

9. Availability

ACHAT aims for continuous operation but does not owe uninterrupted availability. Temporary limitations may occur, in particular due to maintenance or disruptions at third-party providers (e.g. AI services).

10. Limitation of liability

ACHAT is liable without limitation for intent and gross negligence, for injury to life, body or health, under an assumed guarantee, and under the Product Liability Act. For simple negligence, ACHAT is liable only for the breach of a material contractual obligation (one whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely), and then limited to the foreseeable, contract-typical damage. Any further liability is excluded.

11. Changes

ACHAT may amend these Terms with effect for the future. The version in force at the time of contract conclusion applies to a concluded contract.

12. Governing law and precedence

These Terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the country of their habitual residence. For consumer purchases, the German version of these terms (the AGB, shown under "Deutsch") is binding and prevails in the event of any conflict; this English version is provided for convenience.

ACHAT is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG). Where the customer is a merchant or a legal entity under public law, the place of jurisdiction is Waiblingen. Should any provision be or become invalid, the validity of the remaining provisions is unaffected.
